Terms of Service

These Terms of Service (this “Agreement”) set forth the terms and conditions that apply to your access to and use of the internet website located at everyanswer.co and any related webpages, survey links, portals or online interfaces made available by EveryAnswer (“Provider”, “we”, “our” or “us”) (collectively, the “Site”), and the services available through the Site, including the operation, hosting, administration and analysis of research surveys, questionnaires, and related research activities conducted by Provider on behalf of its clients or for its own business purposes (collectively, the “Services”). This Agreement applies to all website visitors and to individuals who participate in, attempt to participate in, or are invited to participate in any survey or research activity made available by or through Provider (each, a “Research Participant”).

These Terms of Service (this “Agreement”) set forth the terms and conditions that apply to your access to and use of the internet website located at everyanswer.co and any related webpages, survey links, portals or online interfaces made available by EveryAnswer (“Provider”, “we”, “our” or “us”) (collectively, the “Site”), and the services available through the Site, including the operation, hosting, administration and analysis of research surveys, questionnaires, and related research activities conducted by Provider on behalf of its clients or for its own business purposes (collectively, the “Services”). This Agreement applies to all website visitors and to individuals who participate in, attempt to participate in, or are invited to participate in any survey or research activity made available by or through Provider (each, a “Research Participant”).

BY ACCESSING OR USING THE SITE OR SERVICES, CLICKING ON AN “I ACCEPT”, “START SURVEY”, “SUBMIT”, “NEXT” OR SIMILAR BUTTON, OR OTHERWISE PARTICIPATING IN A SURVEY OR RESEARCH ACTIVITY MADE AVAILABLE BY OR THROUGH PROVIDER, YOU ARE INDICATING YOUR ACCEPTANCE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT ACCEPT THIS AGREEMENT, YOU MUST NOT ACCESS OR USE THE SITE OR SERVICES OR PARTICIPATE IN ANY SURVEY OR RESEARCH ACTIVITY. IF YOU ARE DISSATISFIED WITH THIS AGREEMENT OR ANY RULES, POLICIES, GUIDELINES OR PRACTICES APPLICABLE TO THE SITE, SERVICES OR ANY SURVEY, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SITE AND SERVICES AND NOT PARTICIPATE IN THE SURVEY.

If you are accessing the Site or Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to this Agreement. If you are participating in a survey or research activity as an individual, you are entering into this Agreement personally and the terms “you” and “your” refer to you as the website visitor or Research Participant, as applicable.

By accepting this Agreement, you agree to be bound by the terms and conditions of this Agreement, as well as Provider’s Privacy Policy located at https://everyanswer.co/legal/privacy-policy (the “Privacy Policy”), as it may be amended from time to time in the future.

We may amend any part of this Agreement by adding, deleting, or varying its terms from time-to-time in our discretion. We will provide you with notice of the proposed amendment by posting an amended version of this Agreement with a new “Last Updated” date. We will include a link to the previous version of the terms beneath the new “Last Updated” date.

The amendments will take effect 30 days after the date on which we provide notice of the amended version. Prior to that date, the previous version of this Agreement will continue to apply.

Ability to Enter into this Agreement

In order to enter into this Agreement or participate in a survey, you must have reached the legal age of majority in your jurisdiction of residence, or have the consent of a parent or legal guardian where required by applicable law or by the applicable survey instructions. It is your responsibility to ensure that you are legally eligible to enter into this Agreement and participate in any survey under laws applicable to you. Provider may establish additional eligibility criteria for a particular survey, including criteria based on geography, age, occupation, purchasing habits, or other research requirements. You must not participate in a survey if you do not meet the eligibility criteria disclosed to you or if you provide false or misleading information to qualify.

Intellectual Property Rights

All material available on the Site and all material and services provided by or through Provider, its affiliates, subsidiaries, employees, agents, licensors, clients, research sponsors, service providers or other commercial partners, including without limitation survey questions, questionnaires, screeners, prompts, research concepts, methodologies, software, informational text, documentation, design, layout, graphics, audio, video, files, documents, images, reports and other materials, whether publicly posted or privately transmitted, and all derivative works thereof (collectively, the “Materials”), are owned by Provider or its licensors, clients, research sponsors or service providers, and are protected by copyright, trademark, trade secret and other intellectual property laws.

Subject to your compliance with this Agreement, Provider grants to you a non-transferable, non-sublicensable, non-exclusive, revocable, limited-purpose right to access and use the Materials solely to access the Site, participate in surveys or use the Services as intended by Provider. You are not permitted to download, copy, record, screenshot, store, share, publish, distribute, disclose or otherwise use any Materials except as expressly permitted by Provider.

If Provider, in its sole discretion and without notice, considers that there is an immediate security or operational risk to the Services or any of its, your or a third party system, then Provider may immediately suspend access to or use of the Services. The suspension of use and access is not a breach of this Agreement. You acknowledge that the preservation of security, confidentiality and data is paramount. Provider has no liability to you for suspending the Services under this provision.

This section does not apply to Survey Responses; however, you agree that any ideas, suggestions, concepts, processes or techniques that you provide to Provider related to the Site, Services, surveys or Provider’s business (“Feedback”) may be used by Provider without any compensation or other consideration payable to you, except for any incentive expressly offered for completion of an applicable survey. Provider may use or incorporate Feedback in any form or derivative into the Site, Services, research methods, software, documentation, business or other products or services. To the extent any rights in Feedback are owned by you, you hereby assign those rights to Provider on a worldwide, perpetual basis and, as applicable, waive any moral rights.

For the purposes of this Agreement and the Privacy Policy, “personal information” is any information about an identifiable individual, as defined in our Privacy Policy.

Provider may create, use, disclose, commercialize and share Aggregated Data and de-identified research outputs generated from use of the Site or Services, including survey responses and participation data, for research, analytics, reporting, benchmarking, product development, service improvement and other lawful business purposes. “Aggregated Data” means data that does not identify you and that has been aggregated, de-identified or otherwise combined to provide generalized information or insights. Provider may provide Aggregated Data or de-identified research outputs to its clients, research sponsors, service providers and business partners.

Your Information and Survey Participation

You may be asked to provide information about yourself in order to access the Site, determine survey eligibility, participate in a survey, receive an incentive, elect a charitable donation, or communicate with Provider. You agree to provide true, accurate, current and complete information and not to misrepresent your identity, eligibility, demographic information, survey responses, contact information or other information provided to Provider. You must not use automated tools, scripts, bots, duplicate identities, false accounts, VPNs or other methods to manipulate survey eligibility, participation, quotas, responses or incentives.

Your right to access and use the Site and Services and to participate in any survey is personal to you and is not transferable. You are responsible for all activity associated with your participation, including any information submitted through your device, browser, survey link, email address, phone number or other identifier. If you become aware of any unauthorized use of your information or survey invitation, you must notify Provider promptly.

Survey Responses and Participant Submissions

The Site and Services may allow you to submit survey responses, questionnaire answers, ratings, comments, opinions, feedback, demographic information, contact information, screening responses, uploaded files, images, audio, video or other information or content (collectively, “Survey Responses”). You acknowledge and agree that you are solely responsible for the Survey Responses you submit and the consequences of submitting them. Survey Responses must be truthful, complete and based on your own genuine views and experiences, unless the survey instructions expressly provide otherwise.

You agree that by submitting Survey Responses through the Site or Services, you grant to Provider a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to use, reproduce, process, analyze, adapt, translate, display, disclose, distribute and otherwise exploit the Survey Responses for the purposes of operating the Site and Services, conducting and administering research, validating responses, preventing fraud, preparing reports and insights, sharing results with clients or research sponsors, improving Provider’s products and services, and other lawful research and business purposes. This license includes the right to host, index, cache, format, aggregate and de-identify Survey Responses.

You represent and warrant that you have all necessary rights, permissions and consents to provide your Survey Responses and that your Survey Responses and Provider’s use of them as permitted by this Agreement will not violate any law, confidentiality obligation, privacy right, publicity right, intellectual property right, contract right or other right of any person or entity.

Provider is not responsible for any third party rights issues arising from Survey Responses that you submit. You must not include personal information about another individual, confidential information of an employer or third party, trade secrets, copyrighted materials, photographs, recordings or other content unless you have all required rights and permissions to provide that information for the purposes described in this Agreement and any applicable survey instructions.

Clients and Research Sponsors

Provider conducts surveys and research activities for a variety of clients, research sponsors and business partners. The identity of the client or research sponsor for a particular survey may not be disclosed to you, including where disclosure could bias research results, reveal confidential information, compromise research integrity or otherwise be inconsistent with the survey design. You agree that Provider has no obligation to identify any client or research sponsor unless required by applicable law or expressly stated in the applicable survey materials.

Incentives, Gift Cards and Charitable Donations

Provider may, in its discretion, offer an incentive for completing or attempting to complete a survey, such as a gift card, points, entry into a draw, or the option to direct a charitable donation to an eligible charity identified by Provider. Any incentive will be subject to the eligibility criteria, survey instructions, verification requirements, availability, timing and other conditions disclosed in the applicable survey materials or by Provider. Unless expressly stated otherwise, incentives are not guaranteed, have no cash value, are non-transferable, and may be withheld, cancelled or revoked if Provider determines that you are ineligible, have not completed the survey as instructed, have provided false or low-quality responses, have breached this Agreement, or have engaged in fraud, abuse or manipulation.

Gift cards and other third party rewards may be issued by third party providers and may be subject to additional terms, expiry dates, availability restrictions, fees, technical requirements or redemption conditions imposed by the issuer. Provider is not responsible for lost, stolen, misdirected, expired, unavailable or improperly redeemed gift cards or rewards, except to the extent caused by Provider’s gross negligence or wilful misconduct.

If a survey allows you to elect a charitable donation instead of receiving a gift card or other incentive, Provider may make or arrange for the donation in accordance with the applicable survey materials. You acknowledge that the donation may be made by Provider or its client, that you will not receive an official donation receipt or tax receipt, and that Provider may choose the timing, method and recipient charity from the options disclosed to you. Provider may substitute a comparable charity if the selected charity is unavailable, ineligible or unable to receive the donation.

Acceptable Use and Conduct:

You agree that you will not submit any Survey Responses or other content, or use the Site or Services or participate in any survey, in a manner that:

  1. infringes, violates or misappropriates any third party’s intellectual property or proprietary rights;
  2. contains software viruses, Trojan horses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
  3. is misleading, deceptive or fraudulent or otherwise illegal or promotes illegal activities, including engaging in phishing or otherwise obtaining financial or other personal information in a misleading manner or for fraudulent or misleading purposes;
  4. is libelous or defamatory, or that is otherwise threatening, abusive, violent, harassing, malicious or harmful to any person or entity, or is invasive of another’s privacy;
  5. is harmful to minors in any way;
  6. is hateful or discriminatory based on race, color, sex, religion, nationality, ethnic or national origin, marital status, disability, sexual orientation or age or is otherwise objectionable, as reasonably determined by Provider;
  7. impersonates a Provider employee, or any other person, or falsely states or otherwise misrepresents your affiliation with any person or entity, or to obtain access to the Site or Services or a portion thereof without proper authorization;
  8. interferes or attempts to interfere with the proper working of the Site or Services or prevents others from using the Site or Services, or in a manner that disrupts the normal flow of dialogue with an excessive number of messages (flooding attack) to the Site, or that otherwise negatively affects other persons’ ability to use the Site or Services;
  9. uses any manual or automated means, including agents, robots, scripts, or spiders, to monitor or copy the Site or Services or the content contained therein;
  10. facilitates the unlawful distribution of copyrighted Content;
  11. except as expressly permitted by Provider, licenses, sublicenses, rents or leases the Services to third parties, or uses the Services for third party training, commercial time-sharing or service bureau use;
  12. includes personal or identifying information about another person in a manner that employs misleading email or IP addresses, or forged headers or otherwise manipulated identifiers in order to disguise the origin of Content transmitted through the Site or Services to users;
  13. constitutes or contains any form of advertising, solicitation, spam, promotional material or irrelevant content;
  14. stalks or otherwise harasses anyone on the Site or using the Services or with information obtained from the Site or Services;
  15. collects, uses, discloses or submits data, including personal information about any person, without lawful authority or required consent;
  16. requests, solicits or otherwise obtains access to usernames, passwords or other authentication credentials from any user of the Site or Services for the purposes of automating logins to the Site;
  17. attempts to gain unauthorized access to the computer systems of Provider or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of the Site or Services;
  18. posts adult or pornographic Content;
  19. decompiles or reverse engineers or attempts to access the source code of the software underlying the Site, the Services or any other Provider technology;
  20. copies, archives, stores, reproduces, rearranges, modifies, downloads, uploads, creates derivate works from, displays, performs, publishes, distributes, redistributes or disseminates all or any part of the Site or Services;
  21. accesses the Site or Services for the purposes of building a product using similar ideas, features, functions, interface or graphics as those found in the Site or Services;
  22. accesses the Site or Services for the purposes of monitoring its availability, performance or functionality, or for any other benchmarking or competitive purposes;
  23. accesses the Site to upload any Content or computer code for the purposes of: (i) causing a breach or override of security to the Site or Services; (ii) interfering with the proper working, functionality or performance of the Site or Services; or (iii) preventing others from accessing or using the Site or Services; or
  24. uses false, misleading, automated, duplicate or manipulated information to qualify for, complete or receive incentives from surveys, or otherwise compromises the integrity of survey results.

Disclaimer of Warranties

YOUR USE OF THE SITE OR SERVICES, PARTICIPATION IN ANY SURVEY, SUBMISSION OF SURVEY RESPONSES, AND RECEIPT OR ATTEMPTED RECEIPT OF ANY INCENTIVE ARE AT YOUR SOLE RESPONSIBILITY AND RISK. THE SITE, SERVICES, SURVEYS, MATERIALS, SURVEY LINKS, RESEARCH ACTIVITIES, INCENTIVES AND ANY THIRD PARTY CONTENT OR REWARDS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. PROVIDER EXPRESSLY DISCLAIMS ALL REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND WITH RESPECT TO THE SITE, SERVICES, SURVEYS, MATERIALS, SURVEY RESULTS, INCENTIVES OR THIRD PARTY REWARDS, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, PERFORMANCE, SYSTEM INTEGRATION, QUIET ENJOYMENT, TITLE AND NON-INFRINGEMENT.

PROVIDER DISCLAIMS ANY WARRANTY THAT THE SITE, SERVICES, SURVEYS, SURVEY LINKS, MATERIALS, INCENTIVES OR ANY THIRD PARTY CONTENT OR REWARDS WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, AVAILABLE, COMPLETE OR ACCURATE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE THE SITE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. PROVIDER MAY REMOVE, SUSPEND, CLOSE OR MODIFY ANY SURVEY, SURVEY LINK, INCENTIVE, SITE FEATURE OR SERVICE AT ANY TIME WITHOUT NOTICE. PROVIDER MAKES NO GUARANTEE THAT YOU WILL QUALIFY FOR, BE ABLE TO COMPLETE, OR RECEIVE AN INCENTIVE FOR ANY SURVEY.

PROVIDER IS NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF, OR FOR THE FAILINGS OF, ANY THIRD-PARTY PROVIDER OF ANY CONTENT, SERVICE, NETWORK, SOFTWARE OR HARDWARE, INCLUDING BUT NOT LIMITED TO, INTERNET SERVICE PROVIDERS, HOSTING SERVICES UTILIZED BY PROVIDER, TELECOMMUNICATIONS PROVIDERS, CONTENT PROVIDED BY OTHER USERS, OR ANY SOFTWARE OR HARDWARE NOT PROVIDED BY PROVIDER.

YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT YOUR SURVEY RESPONSES ARE ACCURATE, LAWFUL AND APPROPRIATE FOR SUBMISSION. PROVIDER DISCLAIMS ANY LIABILITY OR RESPONSIBILITY FOR ANY UNAUTHORIZED, INACCURATE, UNLAWFUL OR MISLEADING SURVEY RESPONSES SUBMITTED BY YOU OR ANY OTHER RESEARCH PARTICIPANT.

THE SITE AND SERVICES ARE OFFERED AND CONTROLLED BY PROVIDER FROM ITS FACILITIES IN CANADA. PROVIDER MAKES NO REPRESENTATIONS THAT THE SITE OR SERVICES ARE APPROPRIATE OR AVAILABLE FOR USE IN OTHER LOCATIONS. THOSE WHO ACCESS OR USE THE SITE OR SERVICES FROM OTHER JURISDICTIONS DO SO AT THEIR OWN VOLITION AND ARE RESPONSIBLE FOR COMPLIANCE WITH LOCAL LAW.

Third Party Sites and Content

The Site may permit you to link to other websites or resources on the Internet, and other websites or resources may contain links to the Site. These other websites are not under Provider’s control, and you acknowledge that Provider is not responsible or liable for any third party content, including but not limited to the accuracy, integrity, quality, usefulness, legality, appropriateness, safety or intellectual property rights of or relating to such third party content or any other aspect of such websites or resources. The inclusion of any such link does not imply endorsement by Provider or any association with its operators. You further acknowledge and agree that Provider will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such third party content, goods or services available on or through any such website or resource. Access and use of third party sites, including the information, material, products and services on third party sites or available through third party sites, is solely at your own risk.

Exclusive Remedy and Limitation of Liability

YOU AGREE THAT, UNDER NO LEGAL THEORY, INCLUDING NEGLIGENCE, BREACH OF WARRANTY OR CONDITION, BREACH OF CONTRACT OR TORT, WILL PROVIDER OR ITS OWNERS, OFFICERS, DIRECTORS, AFFILIATES, CONTRACTORS, EMPLOYEES, AGENTS, CLIENTS, RESEARCH SPONSORS, SERVICE PROVIDERS OR PARTNERS BE LIABLE TO YOU OR ANY THIRD PARTY ACTING ON YOUR BEHALF FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES OR DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, INCENTIVES, OPPORTUNITY, REPUTATION OR OTHER INTANGIBLE LOSSES, OR THE COST OF SUBSTITUTE EQUIPMENT, FACILITIES, SERVICES OR REWARDS, ARISING FROM OR RELATING TO THIS AGREEMENT, THE SITE, SERVICES, SURVEYS, SURVEY RESPONSES, MATERIALS, INCENTIVES, GIFT CARDS, CHARITABLE DONATIONS, THIRD PARTY REWARDS OR YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, EVEN IF PROVIDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PROVIDER’S TOTAL AGGREGATE LIABILITY FROM ANY AND ALL CLAIMS UNDER THIS AGREEMENT IS LIMITED TO THE GREATER OF: (A) THE VALUE OF THE INCENTIVE, IF ANY, EXPRESSLY OFFERED TO YOU FOR THE APPLICABLE SURVEY; AND (B) CAD $100. TO THE EXTENT ANY PROVINCE, STATE OR JURISDICTION DOES NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, PROVIDER’S LIABILITY IN SUCH PROVINCE, STATE OR JURISDICTION WILL BE LIMITED TO THE FURTHEST EXTENT PERMITTED BY LAW.

THE FOREGOING LIMITATIONS WILL ALSO APPLY WITH RESPECT TO ANY DAMAGES INCURRED BY REASON OF ANY CONTENT OR SERVICES PROVIDED ON ANY THIRD PARTY SITES OR OTHERWISE PROVIDED BY ANY THIRD PARTIES OTHER THAN PROVIDER AND RECEIVED BY YOU THROUGH OR ADVERTISED ON THE SITE OR RECEIVED BY YOU ON ANY THIRD PARTY SITES. YOU ALSO AGREE THAT PROVIDER WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS THE RESULT OF ANY INTERACTIONS OR DEALINGS WITH ADVERTISERS OR AS THE RESULT OF THE PRESENCE OF SUCH ADVERTISERS ON THE SITE.

Suspension and Termination

You may stop using the Site or Services or decline to participate in any survey at any time, subject to any survey instructions that may explain whether partial completion affects incentive eligibility. Provider may suspend, restrict, terminate or refuse your access to the Site, Services, any survey, any survey link, or any incentive at any time and without cost, charge or liability if Provider determines that you have breached this Agreement, failed to comply with survey instructions, are ineligible, have submitted false or low-quality responses, or have engaged in fraud, abuse, manipulation or other conduct that may compromise research integrity or the security or operation of the Site or Services.

Provider is under no obligation to store or return Survey Responses or other information submitted through the Site or Services, except as required by applicable law or as described in the Privacy Policy. Provider may retain, delete, aggregate, de-identify, archive or otherwise process Survey Responses and participation records in accordance with the Privacy Policy, applicable law, survey requirements and Provider’s legitimate business purposes.

Provider reserves the right to modify, suspend or discontinue the Site, Services, surveys, survey links, incentives or any portion thereof at any time and for any reason, with or without notice. Provider will not be liable for any modification, suspension, discontinuance, disqualification, survey closure or unavailability of any incentive, except to the extent required by applicable law.

Miscellaneous

If there is any dispute between you and Provider about or involving this Agreement, the Site or the Services, you hereby agree that the dispute will be governed by and construed in accordance with the laws of the Province of Alberta, Canada, and the federal laws of Canada applicable therein without regard to its conflict of law provisions.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

If any portion of this Agreement is deemed unlawful, void or unenforceable by any arbitrator or court of competent jurisdiction, this Agreement as a whole will not be deemed unlawful, void or unenforceable, but only that portion of this Agreement that is unlawful, void or unenforceable will be stricken from this Agreement.

You agree that if Provider does not exercise or enforce any legal right or remedy which is contained in the Agreement (or which Provider has the benefit of under any applicable law), this will not be taken to be a formal waiver of Provider’s rights and that those rights or remedies will still be available to Provider.

The sections of “Survey Responses and Participant Submissions”, “Clients and Research Sponsors”, “Incentives, Gift Cards and Charitable Donations”, “Intellectual Property Rights”, “Disclaimer of Warranties”, “Third Party Sites and Content”, “Exclusive Remedy and Limitation of Liability” and “Miscellaneous” will survive any actual or purported termination or expiry of this Agreement and continue in full force and effect.
